1. Agreement to these Terms

These Terms of Service govern the access and use of the platform provided by Nixblizz SL, operating the AndPay brand (“AndPay”, “we”, “us”). By accessing or using the platform, you agree to be bound by these Terms and all applicable laws.

If you are using the platform on behalf of a company or third party, you represent that you have the necessary legal authority to bind that entity to these Terms.

2. Nature of the Service and AndPay's Role

AndPay is a purely technological platform that provides software tools for invoice creation, payment orchestration, and status tracking through integration with third-party financial service providers.

AndPay is not a financial institution, does not provide payment services, does not transmit money, does not custody funds, does not maintain financial accounts, and does not act as an agent, fiduciary, or financial intermediary.

All financial services, including but not limited to: card processing, acquiring, settlement, and bank transfers (SEPA or others), are provided exclusively by independent regulated partners, through Redsys and the bank providing the terminal.

AndPay is a Technical Service Provider (TSP) and does not participate as a contractual party in any financial transaction between the user, their clients, or the regulated providers.

3. Invoices and Payments

The platform allows users to: generate and manage invoices, share payment links, and view payment status.

Invoice payments are processed through independent regulated third-party providers, which operate independently of AndPay and under their own terms, policies, and verification processes (KYC/AML).

AndPay: does not process payments directly, does not hold user funds, and does not control or guarantee the execution of payments by the regulated partners.

4. Eligibility and Compliance

You may only use the platform if: you have the legal capacity to enter into a binding contract, you use AndPay for lawful activities, and you comply with all applicable regulations, including tax, payment, anti-fraud, sanctions, and consumer protection regulations.

You are solely responsible for the regulatory compliance of your business, your invoices, and the relationships with your clients.

AndPay reserves the right to suspend or limit access to the platform if it detects uses that may involve legal, regulatory, or reputational risks.

5. Subscriptions and Billing

Signup and invoicing with Starter require no card or subscription fee. Before your first live payment, connect your bank terminal and verify a production card authorizing AndPay fees.

AndPay fees on completed live payments, net of refunds, are 0.9% on Starter, 0.6% on Business and 0.3% on Scale. Monthly collection requires your explicit consent and is separate from your bank fees.

The use of certain features may be subject to a paid subscription. Subscriptions are billed monthly or annually in advance, according to the selected cycle and the amount shown before payment.

You may cancel the subscription at any time before the start of the next billing cycle. Amounts already paid are non-refundable, except where required by applicable law or expressly stated by AndPay in writing.

6. Limitation of Liability

To the maximum extent permitted by the laws of the Principality of Andorra, Nixblizz SL and its affiliates will not be liable for: errors, delays, or failures attributable to third-party providers, losses derived from financial transactions managed by regulated partners, indirect, incidental, or consequential damages, loss of profits, revenue, data, or goodwill.

The total accumulated liability of AndPay shall not exceed, in any case, the amounts actually paid by the user to AndPay during the twelve (12) months preceding the event giving rise to the claim.

7. Data Access and API

By connecting third-party services or accounts, you grant AndPay a limited, non-exclusive, and revocable license to access, retrieve, process, and display data related to: invoices, payment status, and transaction information, solely for technical, operational, informative, and billing purposes.

AndPay does not authorize, modify, or execute financial transactions without these being initiated and completed directly through the corresponding regulated providers.

8. Governing Law and Jurisdiction

These terms are governed by the laws of the Principality of Andorra. Any dispute arising from the interpretation or execution of these conditions will be submitted to the exclusive jurisdiction of the courts of the Principality of Andorra.
